The Council announced that it had received a request from “Emsi” to acquire gas stations located on Dariaus and Girėno Street in Tauragė, Vilnius Street in Šiauliai, and Klaipėda Street in Panevėžys. These locations operate automatic gas stations of the “Circle K” network.

Skirmantas Mačiukas, head of “Circle K” in the Baltic States, confirmed to BNS that “Emsi” seeks to acquire three gas stations managed by this network.
He did not disclose the transaction value but stated that “Circle K Lithuania” will buy from “Emsi” their gas station on Nemenčinė Road; this request was submitted to the Competition Council on Friday.
“Emsi” is buying three from us, and we are buying one from “Emsi”. This is more of an exchange. Based on business and needs, we clarified that we are exchanging those that are more necessary for us and them. A nice competitor exchange,” S. Mačiukas told BNS.
As BNS wrote, in 2024, “Emsi,” which acquired four gas stations without permission, received the Competition Council’s approval for the transactions in March this year. “Emsi” indirectly, through the related company “Antira,” acquired two gas stations in Kaunas – on Vandžiogala Road and Masiulis Street. Additionally, it acquired gas stations on Kirtimų Street in Vilnius and in Maišiagala from the company “Takuras.”

Last November, the Council imposed a fine of 1 million euros for the company taking control of these gas stations without permission.
“Emsi” and the gas stations it took over had revenues in Lithuania exceeding 2 million euros, and their total combined revenues were greater than 20 million euros, which required the company to apply to the Competition Council in advance and obtain permission.
Last year, “Emsi’s” net profit decreased 1.8 times to 3.02 million euros (in 2024 – 5.32 million euros), and sales revenues fell by 8.3% to 185.99 million euros (202.99 million euros), according to the company’s report submitted to the Register Center.
Meanwhile, “Circle K Lithuania” increased its net profit 1.5 times in the 2024-2025 financial years to 43.15 million euros, and sales revenues by 7.4% to 828.1 million euros.
