In addition, on May 21, the court halved – to 2.5 thousand euros – the fine imposed by the Vilnius Regional Court on A. Laurinaitis for abuse of process, and also reduced the litigation costs awarded to him by 4.5 times.

A. Laurinaitis will have to cover 15.86 thousand euros in litigation costs for the “Achemos grupė” concern, while the owners of the group’s controlling stake, Lyda Lubienė and Viktorija Lubytė, must cover 647 euros each for such costs.
In addition, A. Laurinaitis will be refunded 12.36 thousand euros in stamp duty.
As reported to BNS by Venta Valčackienė, representative of the Court of Appeal, the court amended the Vilnius Regional Court’s ruling of February 4 this year, but its decision is not public, so she only provided its operative part.
The Court of Appeal’s ruling came into force immediately, but can be appealed to the Supreme Court within three months – it has not yet received an appeal, BNS was informed by court representative Tautvilė Merkevičiūtė.
L. Lubienė briefly commented to BNS on how she assesses the Court of Appeal’s decision and hinted at a possible new dispute.
– We only learned today that in May, the Court of Appeal made a decision in your dispute with Arūnas Laurinaitis. I want to ask how you evaluate it, has that dispute already ended, or is it still ongoing?
– Any dispute has a beginning and an end, or it is endless. That’s all I can say.
– Why endless?
– Because there can be many reasons to start another dispute.
– Can you specify what dispute you…?
– No, I cannot. No, I cannot.
– But here you are planning…?
– Thank you for your attention to my person. Goodbye, good evening to you.
BNS has not yet managed to get a comment from A. Laurinaitis.
Minor shareholder withdrew the lawsuit to save resources of the parties and the court
In February, the Vilnius Regional Court imposed a 5,000 euro fine on A. Laurinaitis and ordered him to cover 70.6 thousand euros in “Achemos grupė” litigation costs.

A. Laurinaitis told BNS in February that he had withdrawn the lawsuit after assessing the situation, saving his own and other parties’ and the court’s resources, and promised to appeal the fine decision to a higher court.
A. Laurinaitis, who owns 4.6 percent of the concern’s shares, announced at the beginning of 2025 that he sought to acquire a 54 percent stake in the group for almost 303 million euros, but facing resistance from L. Lubienė, he filed a lawsuit last February to ensure his pre-emptive right to acquire this package.
Thus, he essentially blocked the acquisition by the Swiss energy company “MET Group”.
MET Group, which announced its intention to acquire 54.07 percent of “Achemos grupė” shares in June 2024, terminated its purchase process last May, which, according to it, was due to legal disputes and various uncertainties, primarily unresolved shareholder disputes over the pre-emptive right to acquire shares, as well as business challenges facing the fertilizer sector.
L. Lubienė told BNS in early April that the legal process was not yet complete, so she did not comment on whether the sale process of this package or individual concern companies to other investors had begun.
Nevertheless, one of the owners of “Achemos grupė” essentially confirmed that one of the most important and largest companies of the group – Klaipėda Stevedoring Company (“Klasco”) – is being attempted to be sold. Later, the media reported that its potential buyer is the Klaipėda Terminal Group, which unites port loading, warehousing, ship mooring, wholesale trade, and real estate (NT) companies.
41.59 percent of “Achemos grupė” shares are owned by L. Lubienė, 12.47 percent by V. Lubytė, and the remaining by 13 natural persons.
